hmv gift vouchers are sold by hmv UK Limited of Film House, 142 Wardour Street, London, W1F 8LN ('hmv'); Waterstone's gift vouchers are sold by Waterstone's Booksellers Limited of Capital Court, Capital Interchange Way, Brentford, Middlesex, TW8 0EX ('Waterstone's'); and E-vouchers are sold by hmv Guernsey Limited of Ogier House, St Julian's Avenue, St Peter Port, Guernsey, GY1 2DA ('hmv Guernsey'). All orders for gift vouchers and e-vouchers are subject to these terms and conditions; acceptance of your order by hmv, Waterstone's or hmv Guernsey, as the case may be, and each company reserves the right to refuse any order application without giving any reason.

You will receive your first order of gift vouchers or e-vouchers once your payment has been received in cleared funds. For future orders we will invoice you on despatch of gift vouchers or e-vouchers provided you have cleared our credit control process. Payments should be made by BACS or by cheque made payable to “hmv UK Limited”. All payments should be a remittance advice detailing our invoice number, date and total invoice value and should be sent for the attention of hmv UK Limited, Corporate Accounts GV, Film House, 142 Wardour Street, London, W1F 8LN.

hmv and Waterstone's gift vouchers remain the property of hmv and Waterstone's respectively and e-vouchers remain the property of hmv Guernsey until paid for in cleared funds. Payment terms are strictly 30 days of invoice date. The right to charge interest on late payments at the rate of 1% per annum above the current base rate of NatWest Bank Plc is reserved. Any discount rate quoted may change without prior notice and will be forfeited on failure to meet payment terms.

Risk in gift vouchers and e-vouchers passes to you upon delivery of the gift vouchers or e-voucher codes to your nominated address, except that if the gift vouchers or e-vouchers are not received by you within 5 days (excluding Saturdays, Sundays and public holidays) of the dispatch date shown on the your purchase order and you fails to notify hmv, Waterstone's or hmv Guernsey, as the case may be, at the address below, risk shall pass to you on the fifth day (excluding Saturdays, Sundays and public holidays) after despatch. Any shortage on delivery must be notified to the address below within 24 hours of receipt otherwise it is deemed that the full order value has been received by you.

hmv and Waterstone's gift vouchers and e-vouchers cannot be re-sold without the prior written permission of hmv, Waterstone's or hmv Guernsey as the case may be. A separate agency agreement should be requested if vouchers or e-vouchers are to be bought for the purpose of re-sale.

You are required to inform hmv, Waterstone's or hmv Guernsey of proposals regarding promotions, artwork and use of the hmv and Waterstone's logos or gift vouchers or e-vouchers and must obtain prior written permission from hmv or Waterstone's as relevant, before such images are used. Breach of this term may result in legal action.

Once purchased, hmv and Waterstone's gift vouchers and hmv e-vouchers are non-refundable.

Except as otherwise provided in these Terms, the Terms shall be the entire agreement between the parties in relation to the matter referred to within them and no other terms shall apply to them. No variation of these Terms shall be binding unless agreed in writing between hmv, Waterstone's or hmv Guernsey as the case may be and the customer and signed by their authorised representatives.

These Terms shall be governed by and construed in accordance with the laws of England and Wales and the parties shall hereby submit to the exclusive jurisdiction of the English courts.
